FringeIT Terms of Service

These Terms of Service ("Terms") govern your use of fringeit.com (the "Site") and your interactions with FringeIT, operated by FringeIT LLC, a Michigan limited liability company and a wholly-owned subsidiary of Novavirt Inc. ("FringeIT," "we," "us," or "our"). By using this Site, you agree to these Terms.

1. About This Site

This Site provides information about FringeIT's managed IT services for small and midsize businesses and lets you contact us or schedule an introductory call. It does not currently offer self-service purchasing or account management directly.

Actual IT services, once you become a FringeIT client, will be governed by a separate service agreement provided to you at that time — not solely by these Site Terms.

2. Acceptable Use

You agree to use this Site only for lawful purposes. You agree not to:

• Attempt to gain unauthorized access to this Site or its infrastructure
• Use automated means (bots, scrapers) to access the Site in a way that degrades its performance or availability
• Submit false or fraudulent information through the Talk to FringeIT contact form
• Use the Site to transmit any harmful code, malware, or attempt to disrupt its operation

3. Inquiries and Scheduling

Submitting the Talk to FringeIT contact form, or booking a call through our third-party scheduling provider, does not create a contract, purchase, or binding commitment of any kind — from you or from us. It is a request to start a conversation. We will follow up based on the information you provide, at our discretion and on our own timeline. We generally aim to respond within one business day, but this is a goal, not a guaranteed response time, and any service level commitments apply only under a signed service agreement.

Any pricing shown on this Site is indicative and is not a final price until confirmed in a written service agreement.

4. Intellectual Property

All content on this Site — including text, graphics, logos, the FringeIT name and branding, and the underlying design — is the property of FringeIT LLC, Novavirt Inc., or their licensors, and is protected by applicable intellectual property laws.

You may not copy, reproduce, or use Site content for commercial purposes without our written permission.

5. No Warranty

This Site and the information on it are provided "as is," without warranty of any kind, express or implied.

We make reasonable efforts to keep this Site accurate, including pricing tier descriptions and service inclusions, but actual pricing and service scope are confirmed individually with each client based on their specific needs. Any future service agreement for FringeIT's actual IT services will contain its own, more specific terms, including service level commitments.

6. Limitation of Liability

To the fullest extent permitted by law, FringeIT LLC and Novavirt Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of this Site, or from any quote request, communication, or interaction that follows from it.

Nothing in these Terms is intended to limit liability in ways not permitted by applicable law.

7. Third-Party Services

This Site relies on third-party infrastructure providers, including Vercel (hosting and analytics), Formspree (form processing), and Calendly (scheduling). We are not responsible for outages, errors, or issues originating from these third-party services, though we will make reasonable efforts to maintain Site availability.

8. Changes to These Terms

We may update these Terms as FringeIT and this Site evolve. We'll update the "Last updated" date above when we do. Continued use of the Site after changes means you accept the updated Terms.

9. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to its conflict of law principles, as FringeIT LLC is a Michigan limited liability company.
